During the 7 years we have owned the business, the plaza was sold. It happened to be sold to the prior owner of the convenience store we purchased from him.
Now we are trying to sell the business and the landlord is disclosing his profits when he owned it compared to ours to potential buyers. Is this legal? Very often, the landlord will either have an estoppel clause in your lease or ask you to sign an estoppel certificate with terms of your lease in it.
The buyer or lender likely has a confidentiality clause so the info cannot be shared outside the transaction. I am a small business owner that has been approached by a large business brokerage firm.
The specific broker has told be that it is not common, in his experience, that the broker himself sign an NDA, only the potential buyer. This does not smell right to me. Am I being too paranoid or am I misunderstanding the nature of the risk? Now an agreement with the broker may have some disclosure limitations, but certainly not a full NDA.
He is NOT going to give it to someone that he thinks is just fishing for competitor information UNLESS he is satisfied that the information seeker is truly a qualified purchaser.
The broker is definitely NOT going to give away all your trade secrets, especially early in the negotiation process. So, unwind just a bit and understand that if no information about your business is revealed, no purchaser or potential purchaser will bother looking at your business as a buyer. Going forward, as brokers engage with buyer prospects, each qualified buyer signs an NDA, and provides information on thier background and experinece, and proof of their financial qualifcations to buy the business.
